Helnan International Hotels A/S (hereinafter "Helnan") and the Egyptian Hotels Company, which became the Egyptian Organisation for Tourism and Hotels (hereinafter "EGOTH"), entered into a Management and Operation Contract on September 8, 1986 (hereinafter "the Contract") whereby Helnan was entrusted with the management of the Shepheard Hotel in Cairo, owned by EGOTH. The Contract was originally to remain in force for a period of 26 years. On October 15, 2002, an Amendment to this Contract was concluded in regards to the privatisation program of the State of Egypt and its consequences.
