Saisi d'une demande de reconnaissance ou d'exequatur d'une décision étrangère en application de l'accord franco-burkinabé de coopération en matière de justice du 24 avril 1961, le juge requis doit procéder, selon l'article 36 a) de cet accord, à la vérification de la compétence indirecte du juge étranger.

On receipt of an application for recognition or enforcement of a foreign judgement pursuant to the Franco-Burkinabe Agreement on Cooperation in Judicial Matters of 24 April 1961, the requested judge must, under Article 36 (a) of that Agreement, verify the indirect juridiction of the foreign judge.

In view of the connectedness of the matters, appeals n° Y 11-23.801 and K 11-25.123 are joined ;

Attendu, selon l'ordonnance attaquée rendue par le président du tribunal de grande instance statuant en la forme des référés, que le 10 février 2004 les actionnaires de la société Telecel Faso, dont la société Atlantique Télécom, ont conclu un pacte fixant les règles de fonctionnement de la société ainsi que les relations entre actionnaires, lequel stipulait une clause compromissoire renvoyant à l'arbitrage suivant le règlement de la Cour commune de justice et d'arbitrage de l'OHADA ; que, par une convention du 26 août 2004, la société Atlantique Télécom a cédé à la société Planor Afrique 44 % des actions du capital de la société Telecel Faso, chargée de l'établissement et l'exploitation d'un réseau de téléphonie mobile au Burkina Faso ; que les actionnaires de la société Telecel Faso réunis en assemblées générales ordinaire et extraordinaire du 27 janvier 2006 ont décidé une augmentation du capital, réduisant à 20 % la part détenue par la société Planor Afrique et ont modifié la composition du conseil d'administration ; que la société émiratie Etisalat, actionnaire majoritaire de la société Atlantique Télécom, et la société Planor Afrique ont signé le 5 septembre 2007, un protocole d'accord, comportant une clause d'arbitrage sous l'égide de la Chambre de commerce internationale, aux termes duquel ces sociétés sont convenues de mettre un terme à leurs différends relatifs à la société Telecel Faso, avec désistement de toute instance [...]

Considering that, according to the contested order of the President of the Court of First Instance, ruling in the form of interim measures, on 10 February 2004 the shareholders of Telecel Faso, including Atlantique Télécom, entered into an agreement setting out the company's operating rules and relations between shareholders, which contained an arbitration clause referring to arbitration under the rules of the OHADA Common Court of Justice and Arbitration; that, by an agreement of 26 August 2004, Atlantique Télécom transferred to Planor Afrique 44% of the share-capital of Telecel Faso, which is responsible for the establishment and operation of a mobile telephone network in Burkina Faso; that the shareholders of Telecel Faso, meeting in ordinary and extraordinary general meetings on 27 January 2006, decided to increase the company’s capital, reducing Planor Afrique's shareholding to 20%, and changed the composition of the Board of Directors; that the Emirati company Etisalat, majority shareholder of Atlantique Télécom, and Planor Afrique signed a memorandum of understanding on 5 September 2007, which included a clause providing arbitraiton under the auspices of the International Chamber of Commerce, according to the terms of which these companies agreed to put an end to their disputes relating to Telecel Faso, with withdrawal from any proceedings [...]
