Vu les articles 873, alinéa 1er, et 1449 du code de procédure civile ;

In view of Articles 873, paragraph one, and 1449 of the Code of Civil procedure ;

Attendu, selon l'arrêt attaqué, statuant en matière de référés, que la société Prodim, aux droits de laquelle vient la société Carrefour proximité France (le franchiseur), a conclu en 2008 avec la société Ramaje un contrat de franchise pour l'exploitation d'un fonds de commerce de détail, sous l'enseigne "Shopi", pour une durée de sept ans, renouvelable par tacite reconduction ; que le franchiseur qui avait décidé de développer un nouveau réseau passant par l'abandon progressif de l'appellation "Shopi", a proposé à la société Ramaje début 2011 de conclure un nouveau contrat de franchise ; que par lettre du 30 mai 2011, la société Ramaje a refusé cette offre et a notifié sa décision de rompre par anticipation le contrat le liant au franchiseur à compter du 1er janvier 2012 ; que le tribunal arbitral, prévu dans la convention des parties, n'a pas pu être constitué ; que le 5 juillet 2011, le franchiseur a fait assigner la société Ramaje en référé sur le fondement de l'article 873, alinéa 1er, du code de procédure civile pour prévenir la dépose de l'enseigne et son passage à la concurrence et la contraindre à poursuivre le contrat de franchise jusqu'à son terme ;

Whereas, according to the judgment under appeal, ruling in the matter of interim measures, that Prodim, the company whose rights Carrefour proximité France (the franchisor) has acquired, concluded in 2008 with Ramaje a franchise agreement for the operation of a retail fund, under the name “Shopi”, for a period of seven years, which was renewable by tacit agreement; that the franchisor who had decided to develop a new network through the gradual abandonment of the brand name “Shopi”, proposed to Ramaje at the beginning of 2011 to conclude a new franchise agreement; that by letter dated 30 May 2011, Ramaje refused this offer and notified its decision to terminate early the agreement binding it to the franchisor as from 1 January 2012; that the arbitral tribunal, provided for in the parties’ agreement, could not be constituted; that on 5 July 2011, the franchisor brought emergency proceedings against Ramaje under Article 873(1) of the Code of Civil Procedure to prevent the deposit of the brand and its transition to competition and to force it to go ahead with the franchise agreement until its expiry;
