I. NOTICE OF INTENT AND REQUEST FOR CONSULTATIONS

1. In accordance with Articles 1118 and 1119 of the North American Free Trade Agreement (the "NAFTA"), and with a view toward resolving this dispute amicably through consultation and negotiation, the Claimant Windstream Energy LLC ("Windstream") respectfully provides to the Government of Canada this written notice of its intention to submit a claim to arbitration under NAFT A Chapter 11.

2. Windstream also requests that Canada and the Government of Ontario begin formal consultations and negotiations as contemplated by NAFT A Article 1118 in an effort to amicably resolve this dispute.
