Considering, according to the challenged judgment, that Encore Medical, a company based in Texas, manufactures and markets medical and surgical equipment and in particular prostheses. Encore Medical concluded a contract with Akthea, a company based in France, for the exclusive distribution of its products on French territory. A dispute arose between the two companies and Encore Medical terminated the contract on 7 February 2001; that by judgment of 25 July 2002, the Commercial Court of Montauban ordered the judicial reorganization of Akthea.
