La société de droit mauricien JMB Corporation (dénommée ci-après JMB) ayant pour activité la prise de participations dans le capital de sociétés a, suivant protocole d'accord du 31 octobre 2007, cédé à la société de droit suisse Fairplus Holding, (ci-après dénommée Fairplus) ayant pour activité la prise de participations dans des sociétés du secteur alimentaire, les 23.997 actions détenues par elle-même et par les tiers pour lesquels elle s'est portée fort, dans le capital de la société de droit malgache Aquaculture des Mascareignes (ci-après dénommée Aquamas), exploitant un élevage de crevettes.

Le prix de cession fixé à trois millions d'euros était payable pour partie (un million d'euros) à la date de cession et pour partie à terme et assorti d'une clause de variabilité en fonction de la valeur des stocks et en-cours de la société Aquamas.

Le même jour soit le 31 octobre 2007, un 'Protocole de non-concurrence' a été signé concernant tout à la fois la cédante JMB et Monsieur Guy Besnardeau, directeur général de la société cédée, Fairplus s'engageant à verser à ce dernier en contre-partie des engagements souscrits, une indemnité de 2.512.877 euros payable sur une durée de quatre années par versements mensuels assortis d'un intérêt de 4% l'an.

The sale price set at three million Euros was payable in part (one million Euros) on the date of sale and in part thereafter coupled with a variability clause based on the value of Aquamas' stocks and work in progress.

On the same day, 31 October 2007, a "Non-competition Agreement" was signed concerning both the ceding company JMB and Mr Guy Besnardeau, Managing Director of the ceded company, Fairplus undertaking to pay the latter, in exchange for the commitments entered into, an indemnity of 2,512,877 Euros payable over a period of four years in monthly instalments with interest at 4% per annum.
